Terms of use

These Terms of Use ("Terms") are a contract between you and Pursuyt, Ltd. ("Pursuyt," "we," or "us"), a company registered in the Republic of Seychelles. They explain the rules for using the Pursuyt web application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.

Our Privacy Policy describes what we collect, how we use it, and your privacy rights. Read the Privacy Policy before or after you use the Service.

This page is written in plain language where possible, but it is a legal agreement. It is not a substitute for advice from your own lawyer.

1. Agreement and service provider

Pursuyt, Ltd., registered in the Republic of Seychelles at Suite 9, Ansuya Estate, Royal Street, Victoria, Mahé, Republic of Seychelles, operates the Service. If you do not agree to these Terms or the Privacy Policy, do not use the Service.

  • Electronic acceptance: using the Service or clicking to agree at signup or checkout counts as your signature where permitted by law, including your agreement to the dispute resolution, binding arbitration, and class-action waiver in Section 16, except where applicable law does not allow those terms.
  • If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
  • We may offer the Service in English and French; the English version of these Terms controls if translations differ, except where local law requires otherwise.

2. Eligibility and accounts

You must be able to form a binding contract and meet the age requirement below. You are responsible for your account credentials and for activity under your account.

  • Minimum age: you must be at least 18 years old (or the age of majority where you live, if higher). The Service is not directed to children under 13, and we do not knowingly collect personal information from them.
  • Provide accurate registration information and keep it up to date. Disposable or abusive email addresses may be blocked.
  • Do not share login credentials, impersonate others, or create accounts to evade suspension, limits, or invite-only access controls.
  • We may require invite codes or waitlist approval during beta or limited-access periods. Access rules shown at signup apply.

3. What Pursuyt is (and is not)

Pursuyt is a cognitive execution system: software to align identity, values, direction, themes, goals, execution, and reflection. It is a productivity and personal planning tool, not a clinical, therapeutic, or emergency service.

  • The Service does not provide medical, mental health, legal, financial, tax, or other licensed professional advice.
  • Pursuyt is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or condition.
  • If you are in crisis or may harm yourself or others, contact local emergency services immediately. Do not rely on Pursuyt for emergency support.
  • Personality or trait summaries (including onboarding questionnaires) are informational only, not clinical or employment assessments, and not fixed labels about who you are.

4. Subscription, billing, and refunds

Foundation and paid tiers may be offered. When self-serve billing is enabled, Paddle.com Market Ltd. ("Paddle") acts as the authorised reseller and merchant of record for Pursuyt subscriptions. Pursuyt does not store full payment card numbers.

  • Before you pay: price, billing interval, plan name, and what is included are shown on the Subscription page and at checkout. Taxes may apply based on your location and Paddle's rules.
  • Cancel: you may cancel a paid subscription through billing settings (Paddle portal). Cancellation stops future charges; paid features typically remain through the end of the current paid period unless stated otherwise at checkout.
  • Refunds (general rule): unless required by applicable law, Paddle-processed purchases are non-refundable and non-exchangeable. Paddle may issue refunds at its discretion or where a statutory withdrawal or refund right applies.
  • Discretionary refund requests: Paddle may review refund requests submitted within 14 days of the transaction under its Refund Policy on a case-by-case basis; submission within that window does not guarantee approval. Approved refunds are typically processed within 14 days using the original payment method where possible.
  • Refund abuse: Paddle may decline requests where there is evidence of fraud, refund abuse, or other manipulative behaviour.
  • Your consumer rights: if local consumer protection laws or Paddle's policies give you additional or non-waivable rights, the highest level of protection applies. Nothing in these Terms limits your mandatory consumer rights, including statutory withdrawal periods that may apply in your region.
  • Statutory withdrawal periods: country-specific withdrawal or cancellation rights (for example, 14 days in the EU/EEA/UK/Switzerland for eligible first payments, or shorter periods elsewhere) and exceptions for digital content that has started to be used are described in Paddle's Refund Policy.
  • How to request a refund: use the "View receipt" or "Manage subscription" link in your Paddle confirmation email, the billing portal linked from Subscription settings, or visit https://paddle.net and select "Request refund". Contact Paddle before initiating a chargeback where possible.
  • Technical or product issues: if Pursuyt is persistently unavailable or materially defective, contact us first at support@pursuyt.com to resolve the issue. If it cannot be resolved, contact Paddle support with details of the problem and our response.
  • Chargebacks and approved refunds: initiating a chargeback or payment dispute may temporarily suspend paid access while the matter is reviewed. If a refund is approved under Paddle's policy or applicable law, paid access to Pursuyt typically ends when the refund is processed.
  • Paddle Refund Policy: Paddle's Refund Policy (https://www.paddle.com/legal/refund-policy) in effect when you pay governs eligibility, timing, discretionary refunds, chargebacks, and defect-related refunds for Paddle-processed transactions. If there is a conflict between these Terms and Paddle's buyer terms on refund mechanics, Paddle's buyer terms govern the transaction.
  • Auto-renewal: paid subscriptions renew automatically each billing period until you cancel. By subscribing, you authorize recurring charges at the then-current rate unless you cancel before the next renewal.
  • Failed payment: if a charge fails, we may pause or limit paid features until billing is updated.
  • Price changes: we may change subscription prices with advance notice where required by law. Continued use after the effective date may constitute acceptance, or you may cancel before the new price applies.
  • Beta billing: during closed beta, self-serve checkout may be disabled and access may be granted by invite or operator action instead of payment.

5. AI features, guidance, and automation

Foundation, Momentum, and Continuum plans may include AI-generated suggestions, drafts, coaching prompts, and insights; higher plans may expand depth or limits. Pursuyt follows a guidance-not-automation approach: you decide what to accept, especially for changes to goals, blocks, or stored data.

  • AI output may be inaccurate, incomplete, biased, or inappropriate. You must review suggestions and use your own judgment before acting.
  • AI is not a substitute for professional advice. Do not use AI features for credit, employment, housing, medical, legal, or investment decisions.
  • To generate features you request, relevant account data (such as goals, reflections, direction, values, and profile signals) may be sent to third-party AI providers (for example Groq or OpenAI) and to Pursuyt-hosted inference systems we operate (which may include Ollama-based models). Details are in the Privacy Policy.
  • High-impact changes require your review and confirmation in the product before they are saved, unless you explicitly apply a draft.
  • Optional refinement features may require separate in-product consent. You can withdraw consent where the product provides a control.
  • We do not use your personal content to train public foundation models unless we tell you otherwise and obtain any consent required by law.

6. Your content and license to Pursuyt

You retain ownership of text and data you create in the Service ("User Content"). You grant Pursuyt the rights needed to host, back up, display, and process User Content to operate the Service, enforce these Terms, and comply with law.

  • License: worldwide, non-exclusive, royalty-free permission to use, store, reproduce, modify (for technical processing), and display User Content only as needed to provide and improve the Service, including sharing with subprocessors bound by confidentiality and data protection obligations.
  • You represent that you have the rights to submit User Content and that it does not violate law or third-party rights.
  • The Service is private to your account today: there is no public community feed or social sharing of your entries in the current product.
  • We may remove or restrict access to User Content if we reasonably believe it violates these Terms or creates risk to others or to the Service.

7. Acceptable use

Use the Service lawfully and respectfully. We may investigate abuse and cooperate with law enforcement when required.

  • Prohibited: illegal activity; harassment; hate or violent content; malware; unauthorized access; scraping or bulk extraction beyond normal use; circumvention of rate limits, security, or tier gates; reselling access without permission.
  • Prohibited: using AI features to generate illegal or harmful content, to attack the Service (including prompt injection), or to obtain professional regulated advice disguised as product guidance.
  • Prohibited: payment fraud, chargeback abuse, or misuse of billing, waitlist, or invite systems.
  • We may suspend or terminate accounts that violate these rules or that pose security, legal, or operational risk.

8. Privacy, data export, and deletion

Our Privacy Policy explains categories of data we collect (account, planning, reflections, billing status, telemetry metadata, and more), subprocessors, retention, and your rights. These Terms do not limit privacy rights granted by law.

  • You may request access, correction, export, or deletion of personal data as described in the Privacy Policy and where the product provides controls (for example account settings or support requests).
  • Some data may be retained after account closure where required for billing records, security, fraud prevention, or legal compliance.
  • Deletion from live systems may take time to propagate to backups; we describe typical timelines in the Privacy Policy.

9. Third-party services

The Service relies on third parties for authentication, hosting, billing, email, analytics (when enabled), and AI inference. Their terms and privacy practices may apply to their components.

  • Examples include Supabase (auth and database), Paddle (payments), Resend (transactional email when configured), Vercel (hosting and optional analytics), third-party AI providers, and Pursuyt-hosted AI infrastructure.
  • We are not responsible for third-party websites or services linked from the Service.
  • Separate enterprise agreements, if any, may involve additional subprocessors disclosed to you in writing.

10. Pursuyt intellectual property

Pursuyt and its licensors own the Service, software, branding, documentation, and all related intellectual property, except User Content.

  • We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes according to these Terms and your plan.
  • You may not copy, modify, reverse engineer, or create derivative works of the Service except as allowed by law or with our written permission.
  • Feedback you provide may be used by Pursuyt without restriction or compensation to you.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PURSUYT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI or analytics outputs will be accurate or achieve any particular result.
  • Nothing in the Service creates a fiduciary, professional, or care relationship.
  • Consumer laws in some regions do not allow certain disclaimers; in those regions, disclaimers apply only to the extent allowed.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PURSUYT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE.

  • Our total liability for any claim arising out of these Terms or the Service is limited to the greater of (a) amounts you paid to Pursuyt for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
  • These limits do not apply where prohibited by law (including liability for death or personal injury caused by negligence, fraud, or willful misconduct where such limits cannot be excluded).
  • You use AI outputs and planning tools at your own risk.

13. Indemnification

If permitted in your jurisdiction, you agree to defend and indemnify Pursuyt against claims arising from your User Content, your misuse of the Service, or your violation of these Terms or applicable law, except to the extent caused by Pursuyt's gross negligence or willful misconduct.

  • We may assume exclusive defense of any matter subject to indemnification; you will cooperate reasonably.
  • Some consumer protection laws limit one-sided indemnities; this section applies only to the extent enforceable against you.

14. Suspension and termination

You may stop using the Service at any time. You may cancel a paid subscription as described in Section 4. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users.

  • Upon termination, your license to use the Service ends. Sections that by nature should survive (including intellectual property, disclaimers, liability limits, indemnity, and dispute resolution) remain in effect.
  • We may delete or anonymize account data after termination subject to the Privacy Policy and legal retention requirements.

15. Changes to the Service and these Terms

We may modify features, pricing, availability, subprocessors, or these Terms as the product and law evolve.

  • Material changes to these Terms will be posted on this page with an updated effective date. Where required, we will provide additional notice or request renewed acceptance.
  • Continued use after the effective date of an update may constitute acceptance, except where your jurisdiction requires a different process.
  • We may perform maintenance or outages for security, compliance, or reliability without liability for temporary unavailability.

16. Dispute resolution, arbitration, and class-action waiver

Please read this section carefully. It affects your legal rights, including your right to sue in court, to have a jury trial, and to participate in a class action. We prefer to resolve concerns informally first. Contact us through the Help area or at support@pursuyt.com before starting arbitration or court proceedings.

  • Informal resolution: before arbitration or litigation, you agree to contact us with a brief description of the dispute and your requested relief, and to allow at least thirty (30) days for us to try to resolve it in good faith, unless a shorter period is required by mandatory law.
  • Governing law: these Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Republic of Seychelles, without regard to conflict-of-law rules, except that mandatory consumer protection laws in your country of residence may still apply to you where they cannot be waived.
  • Binding arbitration: except for the exclusions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including formation, breach, termination, enforcement, interpretation, or validity) will be resolved exclusively by final and binding arbitration, not by a judge or jury in court.
  • Arbitration seat and rules: arbitration will be seated in Victoria, Mahé, Republic of Seychelles. The tribunal will consist of one (1) arbitrator. Unless the parties agree otherwise, the arbitration will be conducted in English under the arbitration laws of the Republic of Seychelles then in force, with procedures reasonably suited to the amount and nature of the claim.
  • Individual proceedings only (class-action waiver): you and Pursuyt each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding unless all parties and the arbitrator agree in writing after the dispute arises.
  • Jury trial waiver: to the fullest extent permitted by law, both parties waive any right to a jury trial for any dispute covered by this Section 16 or heard in court under the exclusions below.
  • Court venue for excluded claims: for disputes that are not required or permitted to be arbitrated under applicable law, exclusive jurisdiction lies in the courts of the Republic of Seychelles with venue in Victoria, Mahé, and each party consents to personal jurisdiction there.
  • Exclusions from arbitration: either party may (1) bring an individual action in small-claims court if the claim qualifies and remains individual; (2) seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property, confidentiality, or security, without waiving the right to arbitrate the underlying dispute; or (3) pursue remedies that applicable law says cannot be made subject to arbitration.
  • Opt-out of arbitration: you may opt out of the binding arbitration agreement in this Section 16 by sending a written notice to support@pursuyt.com within thirty (30) days after you first accept these Terms (for example at account registration). Include your name, the email on your account, and a clear statement that you opt out of arbitration. If you opt out, the arbitration and class-action waiver in this section do not apply to you, but the governing law and court venue bullets above still apply where permitted by law.
  • Mass filings: if twenty-five (25) or more similar arbitration demands are filed within ninety (90) days by or with the same counsel or coordinated group, the parties may agree on a staged or sample process before individual arbitrations proceed. If they do not agree within thirty (30) days, either party may ask a court in Victoria, Mahé to stay or manage the filings so each claim is handled fairly and efficiently.
  • Limitation period: to the extent permitted by law, any claim subject to this Section 16 must be filed within one (1) year after the claim arose, or it is permanently barred, unless a longer period is required by mandatory law.
  • EU and UK consumers: nothing in this section removes mandatory rights you may have under EU or UK consumer law, including access to courts in your country of residence where those rights cannot be waived. You may also use the European Commission Online Dispute Resolution platform where it applies.
  • Severability of this section: if any part of this Section 16 is found unenforceable, the rest will apply to the maximum extent permitted, and any unenforceable portion will be severed without invalidating the remaining arbitration or individual-proceedings requirements where allowed.

17. General

These Terms, together with the Privacy Policy and any plan-specific terms shown at checkout, are the entire agreement between you and Pursuyt regarding the Service.

  • Severability: if any provision is unenforceable, the rest remains in effect. If an unenforceable provision is in Section 16, Section 16's severability rule applies.
  • No waiver: failure to enforce a provision is not a waiver of future enforcement.
  • Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure: we are not liable for delays or failures due to events beyond our reasonable control.
  • Non-excludable rights: nothing in these Terms limits statutory rights that cannot be waived under applicable consumer law.
  • Export: you may not use the Service in violation of U.S. or other export control or sanctions laws.
